We advise on the relevant legal, regulatory and compliance issues which arise in relation to these products. We also have experience in advising on transactions relating to notes, commercial papers, bond issues and depositary receipts.
We advise on initial public offerings and listings of companies on the Colombo Stock Exchange (CSE). We also assist our listed and unlisted clients in other equity-related fund raising exercises such as rights issues, private placements and other share-related issues such as convertible debentures. We believe that our contribution to our listed clients does not end at listing. Post-listing, we also advise our clients in relation to their continuing listing requirements under the Listing Rules of the CSE which include advice in relation to the structuring of interested person transactions and employee share option schemes.
We advise on securitization and structured finance transactions, advising financiers, originators, issuers and trustees.
The Firm also acts as the local legal counsel for the Issuers and Lead Managers in Bond Issues of local financial institutions which are marketed internationally, and advises on the local regulatory aspects in connection therewith and issues Legal Opinions thereon.
The Firm also has a specialised team which works on security documentation for facilities extended by Financial Institutions to their customers and provides an end to end service in relation thereto.
